When do you need an EIN in a corporation?

Every corporation is required to obtain an EIN. 

A corporation needs a new EIN if the corporation is a subsidiary of a corporation and currently uses the parent’s corporate EIN, it becomes a subsidiary of another corporation, a partnership or a sole proprietorship, and/or creates a new corporation after a statutory merger. 

It does not need a new EIN if the corporation divides, after a corporate merger, it declares bankruptcy, the name or location changes, it elects to be taxed as an S Corporation, the corporation is sold and its assets, liabilities, and charters are obtained by the buyer, or after a reorganization.
